FactorySea Terms of Service

These Terms of Service (“Terms”) govern your access to and use of FactorySea.com, including its websites, supplier profiles, product listings, request-for-quotation tools, messaging functions, membership services, artificial intelligence features, and other related services (collectively, the “Platform”).

The Platform is operated by Chongqing Digital Flow Network Technology Co., Ltd., a company registered in Chongqing, People’s Republic of China (“FactorySea,” “Company,” “we,” “us,” or “our”).

By accessing, registering with, publishing content on, purchasing a Platform Service from, or otherwise using FactorySea, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

1. About FactorySea

FactorySea is primarily a business-to-business information publication, business directory, supplier discovery, product discovery, marketing, communication, and transaction-matching platform.

FactorySea enables manufacturers, factories, suppliers, distributors, service providers, sourcing agents, buyers, and other business users to:

  • Create or claim business profiles;
  • Publish company, product, service, certification, capacity, and contact information;
  • Search for manufacturers, suppliers, products, and sourcing opportunities;
  • Submit requests for quotation, inquiries, and business requirements;
  • Communicate and negotiate directly with other users;
  • Purchase memberships, profile-claim services, promotional services, AI credits, or other digital Platform Services.

Except where FactorySea is expressly identified as the seller of a specific Platform Service, FactorySea does not manufacture, own, store, inspect, import, export, distribute, transport, insure, sell, purchase, or take title to any product listed by users.

2. FactorySea Is Not a Party to User Transactions

FactorySea provides an online information and communication infrastructure. It is not a party to any contract, quotation, purchase order, sales agreement, distribution agreement, agency agreement, payment arrangement, shipping arrangement, warranty, or other transaction entered into between users.

Unless expressly stated in a separate written agreement, FactorySea:

  • Does not act as the agent, broker, representative, partner, fiduciary, employee, distributor, or insurer of any buyer or supplier;
  • Does not negotiate or conclude transactions on behalf of users;
  • Does not control the price, specifications, quality, legality, availability, quantity, delivery, payment, warranty, or performance of user-listed products or services;
  • Does not provide escrow, trade assurance, payment guarantees, inspection, logistics, customs clearance, insurance, or dispute adjudication;
  • Does not guarantee that an inquiry, quotation, lead, order, payment, shipment, or business relationship will be completed;
  • Does not guarantee the identity, authority, creditworthiness, solvency, capability, licensing, certification, or good faith of any user.

Any transaction is made solely between the relevant buyer and supplier. Each party is independently responsible for negotiating and documenting its transaction.

Fees paid to FactorySea for memberships, AI credits, promotions, profile claims, or other Platform Services are payments for digital services provided by FactorySea and must not be interpreted as payments for user-listed goods or services.

3. Business Use and Eligibility

FactorySea is primarily intended for commercial and professional use.

To use the Platform, you must:

  • Be at least 18 years old and legally capable of entering into a binding agreement;
  • If acting for a company or organization, have authority to bind that entity;
  • Provide accurate and current registration information;
  • Use the Platform only for lawful business purposes;
  • Comply with all laws applicable to your location, products, services, industry, and transactions.

If you use FactorySea on behalf of a company, “you” includes both you and that company.

Nothing in these Terms excludes rights that cannot lawfully be excluded under applicable consumer protection legislation.

4. Account Registration and Security

You are responsible for all activities performed through your account.

You agree to:

  • Provide truthful, complete, and current account information;
  • Maintain the confidentiality of your password and authentication credentials;
  • Prevent unauthorized access to your account;
  • Promptly notify FactorySea of suspected unauthorized use or security incidents;
  • Keep company, contact, licensing, tax, and verification information current;
  • Not transfer, sell, rent, or share your account without our written authorization.

FactorySea may request identity documents, business licenses, ownership information, authorization letters, certificates, addresses, telephone numbers, tax information, or other supporting records.

We may reject, restrict, suspend, or terminate an account if information is incomplete, misleading, unverifiable, unlawful, or inconsistent with these Terms.

FactorySea’s review of documents does not transfer responsibility for their authenticity to FactorySea.

5. Supplier Profiles, Verification and Badges

Supplier profiles may be created by suppliers, authorized representatives, registered agents, Platform administrators, or through lawful business-directory processes.

Profiles may display labels such as “Unverified,” “Unclaimed,” “Claimed,” “Verified,” or similar descriptions.

An “Unverified” or “Unclaimed” profile means that FactorySea has not completed the applicable verification or claim procedure. Users must not interpret the existence of such a profile as evidence that:

  • The named business created or approved the profile;
  • The profile manager represents the named business;
  • The information is complete, current, or accurate;
  • The business, its products, or its certifications have been verified;
  • FactorySea endorses or recommends the business.

A “Verified” or similar badge means only that FactorySea performed the specific checks described for that verification level, using the information available at the time. It is not a guarantee of authenticity, creditworthiness, product quality, regulatory compliance, transaction safety, or future conduct.

FactorySea may request renewed verification, change badge criteria, remove badges, or revoke verification where information expires, changes, becomes disputed, or appears unreliable.

6. Pre-Created and Agent-Created Business Profiles

FactorySea may permit eligible agents, contributors, or Platform administrators to create preliminary supplier profiles using lawfully obtained business information.

A person creating or managing a preliminary profile must:

  • Clearly identify the profile as unclaimed or unverified where applicable;
  • Provide accurate sources and avoid unsupported claims;
  • Not falsely represent themselves as the named company’s employee or authorized representative;
  • Not accept orders, payments, contracts, or legal notices on behalf of the named company without authorization;
  • Not use trademarks, product images, certificates, or copyrighted materials without permission or another valid legal basis;
  • Promptly correct or remove information shown to be inaccurate or unlawful.

The ability to manage a profile does not grant ownership of the company name, trademark, content, customer relationships, or business identity.

FactorySea may restrict access to, transfer control of, edit, suspend, or remove a preliminary profile at any time when necessary to process a claim, resolve a dispute, protect a rights holder, comply with law, or preserve Platform integrity.

7. Business Profile Claims

A person claiming a supplier profile represents and warrants that they are the business owner, an employee with appropriate authority, or another authorized representative of the named company.

FactorySea may require:

  • Business registration documents;
  • Identification of the claimant;
  • Corporate email or telephone verification;
  • Trademark, domain, address, or ownership evidence;
  • A signed authorization letter;
  • Payment of an applicable claim or membership fee;
  • Additional information reasonably required to verify authority.

Submission of documents or payment of a fee does not guarantee approval. FactorySea may reject, delay, revoke, or reverse a claim where documents are insufficient, conflicting claims exist, fraud is suspected, or legal rights are disputed.

Following an approved claim, FactorySea may transfer administrative access to the verified claimant and remove or limit the previous profile manager’s access.

Any commission or referral relationship between FactorySea and an agent is separate from profile ownership and does not make the agent an owner, employee, or legal representative of the claimed supplier.

“User Content” includes all company descriptions, product listings, specifications, images, videos, trademarks, certificates, prices, articles, messages, quotations, reviews, documents, AI prompts, and other materials submitted through the Platform.

You remain legally responsible for your User Content and represent that:

  • It is accurate, current, and not misleading;
  • You own it or have all necessary permissions to use it;
  • It does not infringe copyright, trademark, patent, design, trade secret, privacy, publicity, or other rights;
  • It complies with advertising, labeling, product safety, export, import, environmental, and industry-specific laws;
  • Certificates, test reports, licenses, factory images, production data, and customer claims are authentic and lawfully disclosed;
  • Product prices, minimum order quantities, capacities, delivery estimates, and technical specifications are presented in good faith;
  • It does not impersonate or misrepresent another person or business.

You bear all legal responsibility, damages, penalties, claims, recall costs, investigation costs, and infringement consequences resulting from your User Content or business conduct.

9. License Granted to FactorySea

By submitting User Content, you grant FactorySea a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, format, translate, index, display, distribute, promote, and technically process that content for:

  • Operating and improving the Platform;
  • Displaying supplier profiles and product listings;
  • Enabling search, recommendation, translation, and AI functions;
  • Promoting FactorySea and its listed businesses;
  • Preventing fraud and enforcing these Terms;
  • Complying with legal obligations.

This license does not transfer ownership of your User Content to FactorySea.

The license generally ends when the content is deleted, except where continued retention or use is reasonably necessary for backups, legal compliance, dispute resolution, fraud prevention, prior promotional materials, or content already shared with other users.

10. Product and Service Listing Requirements

Suppliers are solely responsible for ensuring their products and services may lawfully be advertised, exported, imported, sold, installed, and used in the relevant markets.

Listings must accurately disclose information reasonably necessary for buyers to assess the offering, including where applicable:

  • Manufacturer and responsible economic operator;
  • Product identity, model, specifications, materials, and intended use;
  • Country or region of origin;
  • Safety warnings and operating limitations;
  • Required certifications, conformity markings, test reports, or licenses;
  • Warranty conditions;
  • Minimum order quantity and commercial limitations;
  • Dangerous-goods, chemical, battery, transport, storage, or disposal requirements;
  • Export-control or sanctions restrictions.

FactorySea does not independently certify that a product complies with CE, UKCA, UL, FCC, FDA, RoHS, REACH, UN 38.3, IEC, ISO, or any other standard merely because such information appears in a listing.

11. Prohibited Content and Conduct

Users must not use FactorySea to publish, promote, request, purchase, or facilitate:

  • Illegal, stolen, counterfeit, fraudulent, or infringing goods;
  • Products subject to recall, prohibition, or unresolved serious safety warnings;
  • Unauthorized weapons, explosives, controlled substances, or illegal surveillance equipment;
  • Human trafficking, forced labor, child labor, or other abusive activity;
  • Misleading certifications, forged documents, manipulated test reports, or false factory information;
  • Content that is defamatory, threatening, discriminatory, obscene, malicious, or unlawfully invasive of privacy;
  • Malware, phishing links, credential theft, unauthorized tracking, or cybersecurity attacks;
  • Money laundering, bribery, tax evasion, sanctions evasion, or fraudulent payment activity;
  • Artificial inquiries, fake reviews, fake transactions, manipulation of rankings, or deceptive lead generation;
  • Unauthorized scraping, harvesting, copying, crawling, reverse engineering, or bulk extraction of Platform data;
  • Activity that disrupts the Platform or circumvents security, quotas, membership limits, or access controls.

Restricted, regulated, hazardous, medical, chemical, battery, telecommunications, aviation, defense, or other controlled products may require prior approval and supporting documentation.

FactorySea may remove such content or report suspected illegal activity to competent authorities.

12. Buyer Due Diligence and Transaction Risk

Buyers must independently evaluate each supplier, product, quotation, and transaction.

Before making a commitment or payment, buyers should consider:

  • Verifying the supplier’s legal identity and business registration;
  • Confirming licenses, certifications, beneficial ownership, and export authority;
  • Requesting samples, test reports, inspection reports, and references;
  • Using independent factory audits or pre-shipment inspections;
  • Confirming product standards in the destination market;
  • Using written contracts that address specifications, quality standards, inspection, Incoterms, payment, delivery, warranty, intellectual property, and dispute resolution;
  • Using appropriate payment security, insurance, logistics, and professional advice;
  • Conducting sanctions, export-control, anti-bribery, and fraud checks.

Users communicate, negotiate, contract, pay, ship, and resolve disputes at their own risk.

FactorySea is not responsible for non-delivery, late delivery, payment loss, defective products, specification differences, counterfeit goods, customs seizures, regulatory rejection, intellectual property disputes, warranty failures, or other transaction losses.

13. RFQs, Inquiries and Communications

RFQs, inquiries, quotations, and Platform messages are user-generated communications and do not constitute offers, acceptances, purchase orders, guarantees, or binding contracts issued by FactorySea.

Users are responsible for confirming:

  • The identity and authority of the sender;
  • Commercial terms and technical requirements;
  • Whether a communication is genuine;
  • Whether confidential information should be disclosed;
  • Whether a final agreement has been validly executed.

FactorySea may use automated tools to detect spam, fraud, prohibited content, or security threats, subject to the Privacy Policy and applicable law.

FactorySea is not responsible for commitments made by users through Platform communications.

14. Memberships, Claim Packages and Paid Platform Services

FactorySea may offer paid memberships, profile-claim packages, supplier-profile quotas, promotional placements, advertising, AI credits, or other digital services.

The applicable price, term, quota, features, and limitations will be shown on the relevant order page.

Unless expressly stated otherwise:

  • Memberships and quotas are limited to the purchasing account;
  • Store or profile quotas have no cash value and may not be resold;
  • Publication limits and AI credits may expire with the relevant service period;
  • Purchasing a service does not guarantee inquiries, leads, sales, traffic, indexing, search-engine rankings, AI citations, or commercial results;
  • Plans expire at the end of their stated term unless renewed;
  • Renewal is not automatic unless the user expressly activates an automatic-renewal option;
  • Future fees may change, but changes will not retroactively alter a completed service period;
  • Users are responsible for applicable taxes, bank fees, foreign-exchange costs, and payment-provider charges.

Except where required by law or expressly provided in a separate refund policy, fees for activated, delivered, consumed, or substantially performed digital services are non-refundable.

FactorySea may suspend paid services for payment failure, chargeback abuse, fraud, or violation of these Terms.

15. Search Rankings, Advertising and Recommendations

FactorySea may determine listing visibility using factors such as:

  • Keyword and category relevance;
  • Profile completeness;
  • Verification status;
  • Listing quality and freshness;
  • Buyer engagement;
  • Service response history;
  • Membership level;
  • Paid promotion or sponsored placement;
  • Compliance and account history;
  • Technical and anti-fraud signals.

Paid or sponsored placements may receive additional visibility and may be labeled where required.

Search results, rankings, recommendations, badges, and featured listings are not endorsements or guarantees. FactorySea may modify ranking systems to improve quality, security, or user experience.

16. Artificial Intelligence and Translation Features

FactorySea may provide AI-assisted writing, translation, image generation, search, recommendation, classification, customer-service, and data-processing functions.

AI-generated or AI-assisted output may be inaccurate, incomplete, outdated, biased, duplicated, unsuitable, or legally non-compliant. It may also resemble third-party content.

Users must independently review AI output before publishing or relying on it.

FactorySea does not guarantee:

  • The accuracy or originality of AI-generated content;
  • That translations preserve every technical or legal meaning;
  • That recommendations identify the most suitable supplier or product;
  • That AI-generated content complies with advertising, product, intellectual property, or industry rules;
  • That AI content will improve SEO rankings, visibility, traffic, or sales.

The user remains responsible for every item published through their account, including content created or translated with Platform AI tools.

17. Intellectual Property Rights

The Platform, including its software, design, databases, taxonomy, branding, text, graphics, search technology, and compilation of content, is owned by or licensed to FactorySea and is protected by applicable intellectual property laws.

“FactorySea,” its logos, and related brand elements may not be used without prior written authorization.

No user may copy, reproduce, republish, sell, sublicense, scrape, build a competing database from, or commercially exploit substantial portions of the Platform without written permission.

18. Intellectual Property Complaints

A rights holder who believes that content on FactorySea infringes intellectual property rights may submit a notice containing:

  • The claimant’s full legal name and contact details;
  • Identification of the protected work, trademark, patent, or other right;
  • The URL and description of the allegedly infringing content;
  • Evidence of ownership or authority to act for the rights holder;
  • A good-faith explanation of the alleged infringement;
  • A statement that the submitted information is accurate;
  • A physical or electronic signature.

Notices should be sent to [email protected].

FactorySea may request additional information, notify the affected user, restrict content while reviewing a claim, restore content where appropriate, or terminate repeat infringers.

Submitting a knowingly false or misleading complaint may create legal liability.

19. Content Moderation, Suspension and Appeals

FactorySea may investigate, restrict, downgrade, edit, delist, suspend, or remove accounts, profiles, listings, messages, or other content where we reasonably believe that:

  • These Terms have been violated;
  • Content may be unlawful, unsafe, fraudulent, or infringing;
  • A profile or business identity is disputed;
  • Verification information is false or expired;
  • The activity threatens users or Platform security;
  • Action is requested by a rights holder, payment provider, court, or competent authority;
  • Immediate action is reasonably necessary to prevent harm.

FactorySea is not required to pre-screen every listing and does not assume a general obligation to monitor all user activity, except to the extent required by applicable law.

Where legally required and reasonably possible, FactorySea may provide the affected user with notice and an opportunity to appeal. Appeals may be submitted through the contact page or to [email protected].

20. Reviews and Feedback

Reviews must reflect genuine experiences and must not be purchased, fabricated, coerced, manipulated, or posted in exchange for undisclosed benefits.

FactorySea may remove reviews that are unlawful, irrelevant, fraudulent, abusive, or unrelated to a genuine interaction. We do not guarantee the accuracy of reviews and are not responsible for opinions expressed by users.

Suggestions or feedback submitted about FactorySea may be used without payment or confidentiality obligations, unless otherwise agreed in writing.

FactorySea processes personal information in accordance with its Privacy Policy and applicable law.

You authorize FactorySea to collect, verify, retain, process, and disclose account, business, listing, communication, service, payment, and transaction-related information where reasonably necessary to:

  • Operate and secure the Platform;
  • Verify users and business identities;
  • Prevent fraud and infringement;
  • Provide Platform Services;
  • Handle complaints and disputes;
  • Comply with tax-reporting, record-retention, court, regulatory, customs, law-enforcement, or other legal obligations.

Users must not upload personal information they are not legally permitted to process or disclose.

FactorySea may integrate with payment providers, AI providers, hosting services, analytics systems, logistics services, social networks, translation services, or other third parties.

Third-party services are governed by their own terms and policies. FactorySea is not responsible for the availability, security, content, performance, or conduct of independent third parties.

Links to third-party websites do not constitute endorsement.

23. Export Controls, Sanctions and Anti-Bribery

Users are responsible for compliance with applicable export-control, import, customs, economic-sanctions, anti-money-laundering, and anti-bribery laws.

Users must not use FactorySea to transact with prohibited persons, entities, territories, or end users, or to facilitate prohibited military, nuclear, chemical, biological, surveillance, or other controlled end uses.

FactorySea may block users, jurisdictions, payments, listings, or communications where compliance concerns arise.

24. Disclaimer of Warranties

To the maximum extent permitted by law, the Platform is provided on an “as is” and “as available” basis.

FactorySea disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted operation.

FactorySea does not warrant that:

  • User identities or documents are genuine;
  • Listings, certifications, prices, capacities, or claims are accurate;
  • Products are safe, legal, available, or fit for purpose;
  • Users will perform their obligations;
  • Communications will result in transactions;
  • The Platform will be error-free or continuously available;
  • Data will never be lost, accessed unlawfully, or affected by technical failure.

Nothing in this section excludes a warranty or obligation that cannot legally be excluded.

25. Limitation of Liability

To the maximum extent permitted by law, FactorySea and its directors, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, punitive, exemplary, or consequential loss, including loss of profit, revenue, opportunity, data, goodwill, reputation, production, or anticipated savings.

FactorySea is not liable for losses arising from:

  • User Content or conduct;
  • Buyer-supplier transactions;
  • Fraud, impersonation, non-payment, or non-delivery;
  • Product defects, recalls, injuries, or regulatory violations;
  • Intellectual property infringement by users;
  • Third-party services;
  • Unauthorized account access outside FactorySea’s reasonable control;
  • Search rankings, AI output, translations, recommendations, or business results;
  • Suspension or removal undertaken in good faith under these Terms;
  • Events beyond FactorySea’s reasonable control.

To the maximum extent permitted by law, FactorySea’s aggregate liability relating to the Platform will not exceed the greater of:

  1. The fees you paid directly to FactorySea during the 12 months preceding the event giving rise to the claim; or
  2. USD 100.

These limitations do not apply to liability that cannot lawfully be limited, including where applicable liability for fraud, willful misconduct, gross negligence, or death or personal injury caused by negligence.

26. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless FactorySea and its directors, employees, affiliates, contractors, and service providers from claims, losses, liabilities, penalties, damages, judgments, and reasonable legal expenses arising from:

  • Your User Content;
  • Your products, services, quotations, contracts, or transactions;
  • Your breach of these Terms;
  • Your violation of law;
  • Your infringement of another party’s rights;
  • Product defects, recalls, safety incidents, or regulatory non-compliance;
  • Misrepresentation of business identity, authority, certification, or capability;
  • Your misuse of AI-generated content;
  • Taxes, customs duties, or fees associated with your activities.

This obligation does not apply to the extent a claim results directly from FactorySea’s unlawful conduct.

27. Termination

You may stop using FactorySea at any time.

FactorySea may suspend or terminate access where:

  • You breach these Terms;
  • Information cannot be verified;
  • Payment is overdue or reversed;
  • Fraud, infringement, security, or safety risks exist;
  • Continued service may violate law or third-party rights;
  • The Platform or relevant service is discontinued.

Termination does not eliminate obligations or liabilities arising before termination. Provisions concerning intellectual property, payments, disclaimers, liability, indemnification, disputes, and records survive termination.

28. Changes to the Platform and Terms

FactorySea may modify the Platform, service features, quotas, eligibility criteria, verification rules, or these Terms.

Material changes will be communicated through the Platform, account notification, or email where reasonably required. Updated Terms will state a new effective date.

Continuing to use the Platform after updated Terms take effect constitutes acceptance, except where applicable law requires express consent.

29. Governing Law and Dispute Resolution

These Terms and any dispute relating to FactorySea are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles.

Before commencing legal proceedings, the parties should attempt in good faith to resolve the dispute through written notice and negotiation for at least 30 days.

If the dispute cannot be resolved, it shall be submitted to the competent People’s Court at the domicile of Chongqing Digital Flow Network Technology Co., Ltd., unless mandatory applicable law grants the user another forum or right that cannot be waived.

Disputes between buyers and suppliers must be resolved directly between those parties under their own contract. FactorySea may voluntarily provide communication records or limited administrative assistance but is not obligated to mediate, arbitrate, compensate, or enforce a user transaction.

30. General Provisions

If any provision is found invalid or unenforceable, the remaining provisions remain effective.

FactorySea’s failure to enforce a provision is not a waiver.

You may not assign your rights or obligations under these Terms without our written consent. FactorySea may assign these Terms as part of a merger, restructuring, asset transfer, or transfer of Platform operations.

These Terms, the Privacy Policy, applicable service descriptions, and policies incorporated by reference constitute the entire agreement between you and FactorySea concerning the Platform.

Headings are for convenience only.

The English version controls. Translations are provided for convenience unless mandatory law requires otherwise.
